Sellers Terms and Restrictions
Buyer entirely responsible for removal and transport of any item sold from the County property. The property is being sold "AS IS, WHERE IS" and there is not guarantee written, express, implied or otherwise. Bidders are cautioned to inspect the property prior to submitting a bid. There will be no refunds. The County makes no warranty, express or implied of as to quantity, kind, character, quality of any of the property or its fitness for any use or purpose. All property whether offered as an individual item, lot, or system may actually be incomplete with components missing, defective, damaged or altered or have latent defects or otherwise require repairs or servicing for which the County will not be responsible.

Bidders must thoroughly examine the terms, conditions and instructions contained in this Invitation to Bid. No plea of ignorance by the successful bidder of conditions that exist or that may hereafter exist as a result of failure or omission on the part of the successful bidder to make the necessary examinations and investigations, or failure to fulfill in every detail the requirements of the www.GovAssets4sale.com web site and the additional terms and conditions imposed by the County, will be accepted as a basis for varying the requirements of the County.

INDEMNIFICATION
Successful Bidder shall indemnify and hold harmless the County and its officers, employees, agents and instrumentality's from any and all liability, losses or damages, including attorney’s fees and costs of defense, which the County or its officers, employees, agents or instrumentalities may incur as a result of claims, demands, suits, causes of actions or proceedings of any kind or nature arising out of, relating to or resulting from the performance of this Agreement by the Successful Bidder or its employees, agents, servants, partners, principals, or subcontractors. Successful Bidder shall pay all claims and losses in connection therewith and shall investigate and defend all claims, suits or actions of any kind or nature in the name of the County, where applicable, including appellate proceedings, and shall pay all costs, judgments, and attorney’s fees which may issue thereon. Successful Bidder expressly understands and agrees that any insurance protection required by this Agreement or otherwise provided by the Successful Bidder shall in no way limit the responsibility to indemnify, keep and save harmless and defend the County or its officers, employees, agents and instrumentalities as herein provided.

Inspection of the Property prior to Bid.

Property may be viewed BY APPOINTMENT ONLY. Contact the contact persons as listed to make an appointment for inspection.
Removal of Awarded Items

No removal will be permitted until the property has been paid for in full. The County will not be responsible for damage or loss after property acceptance, as evidenced by assignment of certificate of title, where applicable, or by a "Paid in Full" Bill of Sale. Loading and removal are not permitted on Saturdays, Sundays, legal holidays or periods other than normal business hours (Monday through Friday) by appointment only

Release of Vehicle/Title Transfer

Title transfer will be processed after the following conditions have been met:

1. Payment is received by any one of the following methods: Money Orders, Cashiers Check, wire transfers.

2. Auto dealers must present their license prior to the release of vehicles.


General Provisions

All descriptive information is believed to be true and accurate. Bidder, as a precondition to making a bid, certifies that he/she has read all the terms and conditions pertaining to this sale offer and has satisfied him– or herself fully relative to all matters, including the condition of the property being sold and the work necessary to remove the property. Bidder agrees to all terms and conditions of sale and will accept any award(s) made to him/her as a result of this sale offer with the understanding that he/she has physically inspected the property to his/her satisfaction, or has declined the opportunity to physically inspect the property and accepts total responsibility for doing so.

Bidder is agreeing to purchase any property offered as a part of this sale in an “as is, where is” condition with all faults, whether revealed or not, with no guarantee or warranty, express or implied. Further, Bidder agrees that refunds or exchanges are not allowed and that the County is excluding all implied warranties under the Uniform Commercial Code, or similar laws, including without limitation, the fact that the implied warranties of merchantability and fitness are hereby excluded.

The County makes no warranty, express or implied, as to quantity, kind character, quality, weight, size or description of any of the property, or its fitness for any use or purpose. All property whether offered as an individual item, lot, or system may actually be incomplete with components missing, defective, damaged or altered or have latent defects or otherwise require extensive repairs or servicing for which the County will not be responsible.

It is agreed that formal acceptance of this bid by the County shall constitute a valid and enforceable contract between the two parties. The Bidder agrees to be bound by all obligations, terms and conditions as set forth in the www.GovAssets4sale.com web site and in the sales offer therein by the County.

The County Director of Procurement shall reserve the right to waive any informality in or to reject any or all bids.
